PCPHC – PROPOSED BY-LAW CHANGES – PLEASE RESPOND

Proposed By-Laws Change
This is a one topic email, a proposed by laws change
Below, you see the detail changes approved by the Board of Directors. We unanimously agreed with these minor changes. We are required to send these out to the general population, and if 2/3 of members who respond agree, then they go into effect. Our by laws were written 13-14 years ago by well intentioned people and have held up through the years. That being said, the times have changed and many areas need updating.
In short, these proposed changes:
·        Shorten the election season from 3 months to 2 months. Adds “email” to the term “mail”. Our election season currently lasts 3 months–1/4 of the year; there is just no need for it to last that long. Our board can only think of twice in the last 6 years that there has even been an election, most positions have just one person running, so there’s just no need to stretch it out most of the summer.
·        Eliminates the clause that says “The Election Officer cannot serve again in this position for 2 years.” Finding Elections Officers isn’t always easy, and if we have a good person who is doing a good job, there is no reason to keep them from being the Elections officer repeatedly.
·        Ensures that the BOD turn over happens BY July 1, which is the beginning of the fiscal year. Our financial or “fiscal” year starts July 1. The BOD turnover should happen before that date, as that is when the BOD becomes responsible for the financial aspects of the club.
A second change. This change is a “feel good” change, and will have only a tiny impact to the bottom line:
·     When a member turns 80 years old, the club will pay their dues. The member must notify the BOD and provide proof of age.
Geno and I had actually started this change 4 years ago, but didn’t codify it, so it wasn’t in the bylaws and wasn’t “official”. We want something to look forward to!!
So the BOD is asking that you reply to this email with your approval of both changes. Please copy treasurer@panamacityphc.org too, so we can have two sets of eyes on this.

ARTICLE VIII: ELECTIONS AND VOTING
A. ELECTIONS AND VOTING
1. No later than April 15  April 30 of each year, an “Election Officer” will be selected by the current BOD to serve as the individual who takes nominations and counts the votes for the board members. This individual will not be a current member of the board nor will he or she be a current club leader or representative, but must be a member in good standing of the Panama City Parrot Head Club. The Election Officer cannot serve again in this position for 2 years.
2. On May 1st  No later than May 7 the Election Officer will present to the general membership a description of the vacant officers position and solicit written nominations listing the candidate’s name, specific position they are seeking, phone number and e mail address. The candidate’s acceptance of nomination should be submitted to the BOD by May 22 to determine eligibility.
3. Board members, like any other members in good standing, are eligible to be nominated by the general membership.
4. The Board of Directors will then approve the list of eligible candidates to the Election Officer by May 25th for distribution by email to the membership no later than June 1st. The candidate must be a member in good standing and eligible for nomination.
5. Campaigning will be from June 1st to the third Friday in June and must be done at a PCPHC, Inc. event.
6. Ballots will be distributed to all members on the third Saturday of June.
7. The Membership shall return the completed ballot to the Election Officer by 6:30 PM on July 10th. The Election Officer will then tabulate the votes and announce the winners by July 15th to the general membership.
 6. The Membership shall return the completed ballot by email or regular mail to the Election Officer by the third Saturday in June. The Election Officer will then tabulate the votes and announce the winners by the following Monday to the President and Vice President for communication purposes.
7. The current Board of Director tenure will continue through the end of their term year and will transfer leadership to the incoming Board of Directors at the June Meeting, June Phlocking, or no later than July 1st, which is the beginning of the fiscal year.
8. In case of a tie vote, the winner will be determined by a coin toss by the Election Officer, witnessed by the BOD.
9. The current Board of Director tenure will continue through the end of their term year, and will transfer leadership to the incoming Board of Directors at the July Board meeting, or no later than July 31st.
9. The Election Officer’s term expires at the close of election.
11. There shall be a joint meeting of both the outgoing and incoming BOD to transition the new officers not later than July 31st.
10. Individual BOD members as club members may support or endorse an individual candidate, but may not actively campaign for any candidates, including sending emails.
11. For voting by mail, the ballot will contain the name and address to which the ballot must be returned with a clear communication of the deadline for voting.
12. The organization is not required to pay return postage on any ballots.
13. In recall elections, a minimum vote of ten percent of the membership must be received in order to affect a recall. A simple majority of the ballots cast will determine rejection or approval. 16. The Election Officer will report directly to the Secretary.
14. All candidates are allowed to submit a campaign letter to the Election Officer at any time during the campaign period, but no later than 5 days before the Ballots go out. All campaign letters will be sent out by the Election officer to the Membership, in one email, all at the same time, no later than the day before Ballots go out.

When a member reaches age 80, Parrot Head dues will be paid by the club.  It is the responsibility of the member to notify the BOD and show proof of age.
